4. Fees & payment
Unless we state otherwise in an SOW, fees are exclusive of any applicable taxes, charges, or bank fees.
Invoices are typically payable within 14 days of the invoice date, or as otherwise agreed in writing. If invoices are not paid on time, we may pause work or withhold deliverables until payment is received.
5. Client responsibilities
To help us deliver our services, you agree to:
- Provide timely access to any necessary platforms, accounts, information, and approvals.
- Ensure you have all rights, licences, and permissions for any materials you supply to us.
- Comply with applicable laws, regulations, and relevant platform policies for your sector and markets.
6. Intellectual property
Chengjia Media LTD retains ownership of any intellectual property, methodologies, tools, and templates that existed prior to or are developed independently of a specific client engagement.
Unless otherwise agreed in writing or in an SOW, once you have paid all fees due for a project, you receive a licence to use the final agreed deliverables for your internal business purposes. This does not transfer ownership of our underlying tools or know-how.
7. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with an engagement. Confidential information should only be used as necessary to perform the services or manage the relationship, and should not be shared with third parties except where required by law or with prior consent.
8. Data protection
Each party will comply with applicable data protection laws when handling personal data. Our use of personal data is described in more detail in our Privacy Policy.
9. Disclaimers
While we aim to provide careful and professional services, the Site and its content are provided on an “as is” and “as available” basis. We do not make any promises or guarantees that using our services or following any example strategies will achieve particular results.

10. Limitation of liability

To the extent permitted by law, our total aggregate liability arising out of or in connection with a specific SOW will be limited to the total fees actually paid to Chengjia Media LTD under that SOW in the three (3) months immediately prior to the event giving rise to the claim.
11. Termination
Either party may terminate an SOW if the other party commits a material breach of its obligations and fails to remedy that breach within 14 days of receiving written notice describing the breach.
Termination of an SOW does not affect any rights, obligations, or liabilities that have already accrued up to the date of termination, including any payment obligations. Clauses relating to fees, intellectual property, confidentiality, data protection, limitation of liability, and governing law will continue to apply after termination.
12. Governing law
These Terms, and any dispute or claim arising out of or in connection with them or your use of the Site, are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over any such dispute or claim, subject to any mandatory legal rights you may have in your home jurisdiction.
